Attendee Terms and Conditions

INTRODUCTION

This document sets out the terms and conditions (the “Terms”) between Quantum Metric, Inc. (“Quantum Metric” or “Organizer” or “we” ) and you (“you,” or “Attendee”) when you register for and attend the Quantum LEAP 2024 conference (the “Conference”).  By registering for or attending the Conference, you are agreeing: (1) to be bound by these Terms, which you have read and understand; (2) to review and comply fully with all posted instructions onsite at the Conference, if applicable, as well as Quantum Metric’s Health and Safety Guidelines, which may be updated from time to time at Quantum Metric’s sole discretion and taking into account the recommendations and requirements of the Centers for Disease Control and Prevention, World Health Organization, federal, state, and local government, local public health agencies, and the Conference venue with respect to reducing the transmission of and risks associated with COVID-19; and (3) that you have obtained the consent of your employer, to the extent your employer may so require, prior to registering for the Conference and becoming bound by these terms.

1. REGISTRATION AND PAYMENT

Submission of an online registration for the Conference is regarded as a firm booking and acceptance of these Terms and any additional rules that may apply from the Conference venue(s) and/or digital platform used for the virtual delivery of the Conference. Payment in full will be required at the time of registration. 

Attendee may choose to register for and attend the in-person Conference which is to take place in New Orleans, Louisiana (“In-Person”) or the virtual delivery of the Conference to be held online (“Virtual”).

2. PRIVACY

Quantum Metric is committed to data privacy and protecting your personal information.  Information on how Quantum Metric collects, processes and uses your data is included in the Quantum Metric Privacy Policy  The personal information supplied in connection with this registration will be held by Quantum Metric as a record of Attendee’s expressing interest. By registering for this conference, you agree that the Quantum Metric may use your personal information to contact you by email, direct mail or telephone, in order to supply information relevant to this conference, or about other conferences, events and opportunities that the Organizer is planning and feel may be of interest to you, as well as information about Quantum Metric’s products and services. The Organizer may also share your personal information, as well as your company name, with its conference sponsors and/or partners in order for them to contact you about other products and services which may be of interest to you. Your attendance at the Conference may also be shared with sponsors and/or partners of future conferences held by Organizer.

3. CANCELLATION 

3.1. Attendee Cancellation. 

Any attendee wishing to cancel their booking must notify Quantum Metric by sending an email to [email protected]

Cancellation charges will apply to In-Person tickets as follows: 

  • Between October 4 to December 3, 2023 – 100% of attendance fee is refunded, less any applicable service fee.
  • Between January 1 to January 31, 2024 – 50% of attendance fee is refunded, less any applicable service fee. 
  • Between February 1 to February 29, 2024 – no refund will be provided.

3.2.  Quantum Metric Cancellation.  
In the event of the Conference being canceled by the Organizer, not subject to Section 3.3 below, a full refund will be made. Liability will be limited to the amount of the fee paid by the Attendee and there will not be any additional liability to Quantum Metric, Conference hosts or any other individual associated with the Conference organization.

3.3. Quantum Metric In-Person Cancellation.  

In the event that the In-Person Conference is impacted by pandemic or disease outbreak provided that in such a case the federal, state or local government has issued advisories and/or guidelines restricting gatherings of the size and type of event for the geographic location of the Conference; or Organizer determines, in its sole discretion, that removing the in-person element of the Conference is in the best interest of attendees and staff, Organizer reserves the right to cancel the in-person element of the Conference and continue virtual delivery of the Conference. In such event, Attendee’s registration will be honored for the virtual delivery of the Conference and no refund shall be made to Attendee. 

4. SUBSTITUTIONS 

Substitutions may be made for In-Person registrations up until February 2, 2024, and for Virtual registrations up until February 26, 2024.  If you wish to substitute attendees, you must notify Quantum Metric by emailing [email protected] at the earliest opportunity.

5. CHANGES AND POSTPONEMENT

Quantum Metric reserves the right to make alterations to the Conference program, speakers, venue and timings at any time. In the event of it being found necessary, for whatever reason, that the Conference is being postponed or the dates being changed, the Organizer shall not be liable for any expenditure, damage or loss incurred by the Attendee. If re-arrangement or postponement of the Conference takes place, the booking between the Attendee and the Organizer shall remain in force and will be subject to the cancellation schedule above.

6. LIABILITY

In consideration for being allowed to register for, and participate in the Conference, you hereby freely waive, release from liability, assume all risks, and covenant not to sue Quantum Metric, or its employees, board members and/or agents for any expense, loss, damage, personal injury, including loss of life, property damage, or property theft or actions of any kind that you may suffer before, during or after the Conference, unless said expense, loss, damage, or personal injury is caused by the sole, gross negligence of Quantum Metric.  Views expressed by speakers, sponsors and/or exhibitors are their own. Quantum Metric cannot accept liability for any advice given, or views expressed, by any speaker, sponsor and/or exhibitor at the Conference or in any material provided to attendees. In addition, Quantum Metric shall not be responsible or liable for any direct or indirect loss or damage of any sort incurred as the result of the services or information provided in connection with the Conference.  In no event, where applicable law permits, shall Quantum Metric’s total liability to you for all damages and losses with respect to these Terms exceed the amount fees paid by Attendee. This Liability Waiver and Release is specifically binding upon your heirs and assigns and is knowingly given.

7. INSURANCE

It is the responsibility of the Attendee to arrange appropriate insurance cover in connection with their attendance at the Conference. Quantum Metric cannot be held liable for any loss, liability or damage to personal property.

8. PHOTOS & FILMING

By attending the Conference either virtually or in-person, you are entering an area where photography, audio and video recording may occur.  By agreeing to these Terms, you consent to photography, audio recording, video recording and its release, publication, exhibition, or reproduction to be used for promotional purposes, advertising, inclusion on websites, social media, or any other purpose by Quantum Metric and its representatives. You waive all rights to any claims for payment or royalties in connection with any use of these materials. You also waive any right to inspect or approve any photo, video, or audio recordings taken by Quantum Metric or the person or entity designated to do so by Quantum Metric.  Further, due to the prevalence of mobile recording devices in today’s world, Quantum Metric disclaims all liability for the capture of your image in any multimedia format by other attendees at the event.


Attendees and sponsors are encouraged to capture their Conference experiences and post their own social content from the event (text, photos, audio, video, streaming), provided it does not infringe upon the rights of any attendee, sponsor, third party, or Quantum Metric.  Such infringement would include, but is not limited to, defamation or infringement of intellectual property rights.  In the event an Attendee requires a release or permission to protect the rights of a third party, obtaining such a release or permission shall be the sole responsibility of the Attendee.   

10. VIRTUAL EVENT PLATFORM

Quantum Metric will be hosting parts of the Conference on the Event Cadence platform.  You can view their legal and privacy policies here.  We may use other platforms for breakout rooms and other Conference activities, which we will communicate to Attendees prior to the Conference.

11. ADMITTANCE

In its sole discretion and without refund, Quantum Metric reserves the right to refuse admittance to or expel from the Conference anyone that it determines is behaving in a manner that could be disruptive to the Conference or any other attendee.

Quantum Metric may introduce and enforce additional In-Person event policies and restrictions, including but not limited to the requirement to wear a mask or facial covering at all times during the Conference and reserves the right to refuse admittance to anyone that does not comply with said policies.  If Quantum Metric exercises this right, there will be no refund provided to Attendee. Quantum Metric may require In-Person Attendees to execute a waiver prior to attendance at the onsite event.

12. SPEAKERS

By attending the Conference as a speaker, you grant permission to Quantum: (a) to reproduce and distribute any materials, including the presentation, handouts and any related materials (collectively, the “Presentation Materials”) that you provide to Quantum; and (b) to record and make copies of your Presentation Materials used or provided by you to Quantum in any format and media. Quantum and its affiliates, assigns, licensees and successors may then use, display, transmit, broadcast (live or delayed/on demand), and distribute the Presentation Materials, in whole or in part. 

You also agree to allow Quantum to use and grant to Quantum permission (i) use your name, likeness, photograph, and employer and biographical information in promotions of the Conference; and (ii) use your name, likeness, photograph, employer information, video or audio tape, and transcription of your Presentation Materials in any format and media recorded by Quantum, including in promotions of the Conference and/or Quantum and its products or services.

13. INTELLECTUAL PROPERTY

All intellectual property rights in and to the Conference, including the content and all the materials distributed at or in connection with the Conference are the sole property of Quantum Metric and/or the Conference sponsors or speakers presenting at the Conference.  For the avoidance of doubt, nothing in these Terms shall be deemed to vest in you any legal or beneficial right in or to any trademarks or other intellectual property rights owned or used under license by Quantum Metric or grant to you any right or license to any other intellectual property rights of Quantum Metric, all of which shall at all times remain the exclusive property of Quantum Metric.

14. DISCLAIMERS; NO WARRANTIES

Quantum Metric’s Conference, this website, and any applications are provided “as-is” and “as available,” without warranty of any kind, express or implied. We make no guarantees as to uptime or availability of the Virtual Conference, this website or any applications, and we do not warrant that our Conference, this website, or any applications or any of their content or functionality will be error-free or uninterrupted or that defects will be corrected. Attendees assumes all responsibility and risk for the use of the website and/or attendance at or registration for the Conference, including without limitation access to and use of Conferences venues and platforms and exposure to COVID-19. To the fullest extent permissible by applicable law, we shall have no responsibility or liability for any content or materials displayed or distributed as part of our Conference or on our website or applications, or any other resulting damage, including without limitation damage from virus attacks, internet congestion, and denial of service attacks. We disclaim all warranties, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, noninfringement, or other violation of rights.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Quantum Metric, its affiliates, and their respective directors, officers, shareholders, owners, managers, members, past and present employees, contractors, volunteers, representatives, agents, affiliates, successors, and assigns (collectively, “Releasees”) from and against all actions, suits, claims, losses, liability, costs, and expenses, including attorney fees (collectively, “Claims”) arising out of or in connection with: (i) your viewing, purchase, use, or participation in the Conference, website and applications, including without limitation all content and other materials made available to you; (ii) any content you submit to our website, applications, or social media properties or tag us in on your social media profiles, or (iii) your violation of these Terms. This provision shall apply regardless of Releasees’ negligence, if any.

16. GENERAL

We reserve the right at any time to change, amend, add or remove any of the above terms without prior notice if one or more of the conditions outlined in these Terms should be or become invalid, the remaining conditions will continue to be valid and apply. These Terms apply to all participants of this event, including Attendees, speakers, sponsors and exhibitors.

17. GOVERNING LAW AND VENUE

These Terms shall be governed by the laws of Delaware, without giving effect to any conflicts of laws principles that require the application of the laws of another jurisdiction, and the parties shall submit to the exclusive jurisdiction of the state and federal courts for the county in which Quantum’s principal place of business is located for any action arising from or related to these Terms.

18. EVENT CODE OF CONDUCT

Quantum Metric is committed to providing a friendly, safe, productive, and welcoming environment for all attendees, including staff and vendors, at Quantum Metric events.  Quantum Metric has no tolerance for discrimination, harassment, or bullying in any form at any of its events. We expect all Conference Attendees to be considerate, respectful, and collaborative, and be mindful of your fellow attendees and surroundings.  For In-Person Attendees, we expect you to wear your badge at all times while at the Conference and to report any dangerous and/or unacceptable behavior to onsite Conference staff.  We invite all attendees, speakers, partners, media, and other participants to help us realize a safe and positive experience for everyone in attendance at the Conference.
